Applies to: All business customers purchasing from the UZR B2B portal.
1. Overview
These Terms of Service govern the access and use of UZR B2B services via www.uzrindia.com/business (the “Platform”), operated by THE HOUSE OF UZR (“UZR”, “we”, “us”, “our”). By registering and transacting on this platform, you (“Business Client”, “you”, “your”) agree to these terms.
2. Eligibility & Account
- Only registered businesses, sole proprietors, resellers, or agents authorized to act on behalf of a legal entity may transact.
- UZR reserves the right to verify your GSTIN, business license, and identity details before activating your B2B account.
3. Use of Platform
- The B2B Platform is intended exclusively for commercial purposes such as resale, wholesale procurement, or institutional consumption.
- Orders placed via this portal are presumed to be for non-consumer use. Return or refund claims under "consumer protection" do not apply.
4. Ordering & Contract Formation
- All orders are subject to acceptance by UZR.
- UZR reserves the right to reject or cancel orders due to inventory limitations, non-compliance, credit risk, or due diligence flags.
- Contracts are binding only upon UZR issuing a proforma invoice or a written order confirmation.
5. Pricing, Invoicing & Taxes
- Prices are exclusive of GST unless stated otherwise.
- Orders are processed only against advance payment or post-credit approval.
- UZR reserves the right to alter prices without prior notice for unconfirmed orders.
6. Payment Terms
- Accepted payment modes: NEFT/RTGS, UPI, business credit cards.
- Credit terms (if any) are governed by a separate agreement. Interest of 18% p.a. may apply on overdue invoices.
7. Delivery & Risk
- Products are shipped DAP (Delivered at Place) as per INCOTERMS 2020.
- Risk of loss passes upon delivery or dispatch to the transport carrier.
- Delivery timelines are estimates and not guarantees.
8. Return, Replacement & Damages
- Claims for defective, short, or incorrect shipments must be raised within 48 hours of delivery with photo evidence.
- Returns are accepted only for defective goods, subject to inspection. No returns on custom-branded or clearance stock.
- Refunds (if applicable) are processed within 7–10 working days via credit note or bank transfer.
9. Intellectual Property
All content on the platform, including product designs, images, and branding, remains UZR’s property and may not be used without written authorization.
10. Liability
UZR is not liable for indirect losses such as business interruption or loss of profit. Total liability is limited to the value of the disputed order.
11. Compliance & Ethical Use
Buyers are responsible for complying with applicable laws, including GST filing, resale documentation, and import/export regulations. UZR may suspend or terminate accounts involved in misuse, fraud, or misrepresentation.
12. Force Majeure
UZR shall not be liable for delays or failure due to events outside our reasonable control (natural disasters, lockdowns, supply chain disruptions, etc.).
